POSITION OVERVIEW:

We are seeking an experienced paralegal to oversee the coordination and rigorous management of corporate and transactional legal documentation. Responsibilities include maintaining entity records with government authorities, supporting governance and fund operations documentation, and managing investor records, while contributing to the continuous improvement of internal processes supporting our private equity and public markets activities.

This role plays a key part in maintaining the firm’s legal and corporate governance framework. The successful candidate will work closely with the finance team and external legal counsel to ensure efficient and structured coordination of transactions, corporate filings, and investor communications.

KEY RESPONSIBILITIES:

Corporate Governance and Statutory Filings (Quebec and Canada)

  • Prepare and file annual returns and updates with the Quebec Enterprise Registrar and Corporations Canada
  • Manage changes to directors and officers
  • Coordinate amalgamations, continuances, dissolutions, and extra-provincial registrations
  • Maintain minute books and statutory registers, on an ad-hoc and quarterly basis
  • Monitor deadlines and maintain corporate organizational charts, on an ad-hoc and quarterly basis

Investment Transaction Execution Support

  • Coordinate documentation related to acquisitions, dispositions, financings, and restructurings
  • Manage non-disclosure agreements (NDAs) and document circulation
  • Prepare and track signature packages
  • Maintain closing checklists and timelines
  • Compile and organize transaction closing binders
  • Collaborate with external legal counsel to ensure efficient administrative execution

Fund Operations and Investor Relations

  • Prepare and distribute investor documentation for initial subscriptions, capital calls, and distribution notices
  • Coordinate the collection of signatures and follow up
  • Maintain structured and up-to-date investor documentation
  • Collaborate with the finance team and/or fund administrator on a timely basis

Process Optimization and Operational Excellence

  • Identify opportunities to improve corporate and fund-related legal processes
  • Develop and maintain templates, checklists, and standardized internal procedures
  • Enhance tracking tools for filings, transactions, and investor documentation
  • Participate, as needed, in the implementation of technological tools aimed at increasing efficiency and reducing risk
  • Contribute to building scalable operational infrastructure to support the firm’s growth

Other Responsibilities

  • Support the review of commercial agreements
  • Track and ensure accuracy of external legal counsel budgets, work in progress, and invoicing
  • The role could also include compliance support for entities regulated by the AMF

QUALIFICATIONS

  • Diploma in Paralegal Technology or equivalent certification
  • Minimum of 5 years of relevant experience in corporate law or transactions
  • Strong experience with corporate filings in Quebec and at the Canadian federal level
  • Experience in private equity, asset management, or a corporate law firm is a significant asset
  • Experience coordinating transaction closings and managing investor documentation (asset)
  • Fully bilingual (French and English), both spoken and written
  • Excellent organizational skills and ability to work independently within a small team
